Terms of Service

1. Agreement to Terms

By accessing or using the Carelog Analytics website and platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Carelog Analytics provides a data analytics and business intelligence platform designed for home care agencies. Our Service unifies operational data from third-party systems (including but not limited to WellSky, Paradox, HubSpot, and ZOHO) to deliver dashboards, KPI tracking, AI-generated reports, and automation tools.

3. User Accounts

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized use of your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for an extended period, with reasonable notice.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to any part of the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service to store or transmit malicious code
  • Resell, sublicense, or redistribute access to the Service without our written consent
  • Use the Service in a manner that could harm, disable, or impair it

5. Data Ownership and Licensing

5.1 Your Data

You retain all rights to the data you upload, import, or generate through the Service ("Customer Data"). By using the Service, you grant us a limited license to process, store, and display Customer Data solely to provide and improve the Service.

5.2 Our Platform

The Service, including its design, features, code, documentation, and content (excluding Customer Data), is owned by Carelog Analytics and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

6. Payment and Billing

  • Paid plans are billed in advance on a monthly or annual basis as selected during signup
  • All fees are non-refundable except as required by law or as stated in our cancellation policy
  • We reserve the right to change pricing with 30 days' advance notice. Existing subscribers will be notified before any price change takes effect on their account
  • Failure to pay may result in suspension or termination of your account

7. HIPAA and Compliance

For customers who are covered entities or business associates under HIPAA, we will enter into a Business Associate Agreement (BAA) upon request. Both parties agree to comply with applicable provisions of HIPAA, HITECH, and related regulations. Our obligations regarding Protected Health Information (PHI) are governed by the BAA and applicable law.

8. Third-Party Integrations

The Service integrates with third-party platforms (WellSky, Paradox, HubSpot, ZOHO, and others). We are not responsible for the availability, accuracy, or policies of these third-party services. Your use of third-party integrations is subject to those providers' respective terms and conditions.

9. Service Availability and Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Support is provided via email at admin@careloganalytics.com during business hours.

10. Limitation of Liability

To the maximum extent permitted by law, Carelog Analytics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total cumulative liability shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or that any defects will be corrected.

12. Indemnification

You agree to indemnify and hold harmless Carelog Analytics and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Termination

Either party may terminate the agreement at any time. Upon termination, your right to use the Service ceases immediately. We will make your Customer Data available for export for a period of 30 days following termination, after which it may be deleted. Provisions that by their nature should survive termination (including ownership, warranty disclaimers, indemnification, and limitation of liability) shall survive.

14. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.
